End-User License Agreement

Effective July 12, 2026

This End-User License Agreement (the "Agreement") is a binding agreement between you ("you" or "Homeowner") and Father and Sons Home Watch and Maintenance LLC, a Florida limited-liability company (Florida Document No. L24000169456) that also does business under the registered fictitious name Father and Sons Handyman Service Pros (collectively, "Father & Sons", "we", "us", or "our"), governing your access to and use of the private homeowner and staff portal available at portal.fshomewatch.com (the "Portal"). By signing in to the Portal or accepting an invitation to use it, you agree to be bound by this Agreement. If you do not agree, do not use the Portal.

1. About the Portal and Our Businesses

The Portal is a private software application operated by Father and Sons Home Watch and Maintenance LLC for the benefit of its own service customers, staff, and authorized co-owners. It is not a public marketplace or general-purpose consumer application. Its features include, without limitation: scheduling and receiving home-watch inspection reports, viewing occupancy and property status, submitting service requests, communicating with the Father & Sons team, and (where enabled) reviewing and paying invoices originated in QuickBooks Online.

Father and Sons Home Watch and Maintenance LLC does business under the following brands:

Father & Sons Home Watch — routine home-watch monitoring, occupancy management, pre-arrival and post-departure inspections, and related concierge services, delivered directly by the LLC;
Father and Sons Handyman Service Pros — repairs, maintenance projects, installations, and other handyman services performed at the property, delivered under a registered Florida fictitious name (Registration No. G26000059660) of the same LLC.

Both brands are the same legal entity. Invoices, work orders, communications, and reports may appear under either name depending on the service performed, but your legal counterparty in every case is Father and Sons Home Watch and Maintenance LLC. This Agreement, and the Privacy Policy referenced below, apply equally to services delivered under either brand.

2. License Grant

Subject to your compliance with this Agreement, Father & Sons Home Watch grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Portal solely for your personal, non-commercial use in connection with the home-watch services we provide to you or a property you own or co-own.

3. Accounts, Access, and Security

You are responsible for the accuracy of the information you provide when creating or updating your account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You will notify Father & Sons Home Watch promptly if you believe your account has been compromised.
You will not share your credentials with any third party or attempt to access any account other than your own.

4. Acceptable Use

You agree not to:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Portal;
Copy, modify, distribute, sell, lease, or create derivative works based on the Portal or its content;
Use the Portal in any manner that could disable, overburden, damage, or impair it, or interfere with any other party's use of the Portal;
Use any robot, spider, or automated means to access the Portal for any purpose;
Use the Portal to transmit unlawful, harassing, defamatory, or infringing material; or
Attempt to gain unauthorized access to any portion of the Portal, other user accounts, or any systems or networks connected to the Portal.

5. Third-Party Services

The Portal integrates with third-party services in order to provide its features. These include, but are not limited to:

Supabase (data storage and authentication);
Intuit / QuickBooks Online (billing and invoice payment, where enabled);
Resend (transactional email delivery); and
Netlify (application hosting).

Your use of any third-party service accessed through the Portal is subject to that service's own terms and privacy practices. Father & Sons Home Watch is not responsible for the availability, accuracy, or content of any third-party service.

6. Intellectual Property

The Portal, including all software, design, text, graphics, logos, and other content (other than content you or your co-owners submit), is the property of Father & Sons Home Watch or its licensors and is protected by United States and international intellectual-property laws. Nothing in this Agreement transfers any ownership right to you.

7. Content You Submit

You retain ownership of information, notes, comments, photos, or other content you submit through the Portal. You grant Father & Sons Home Watch a non-exclusive, worldwide, royalty-free license to store, display, transmit, and process that content solely for the purpose of operating the Portal and providing home-watch services to you.

8. Payment

Invoices for home-watch and related services are generated in QuickBooks Online and, where enabled, may be paid by you through a hosted Intuit payment page linked from the Portal. Father & Sons Home Watch does not process or store payment-card data. All payment obligations are between you and Father & Sons Home Watch; Intuit acts solely as the payment processor.

9. Disclaimer of Warranties

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FATHER & SONS HOME WATCH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FATHER & SONS HOME WATCH DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FATHER & SONS HOME WATCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PORTAL. FATHER & SONS HOME WATCH'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO FATHER & SONS HOME WATCH FOR HOME-WATCH SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Termination

Father & Sons Home Watch may suspend or terminate your access to the Portal at any time, with or without cause and with or without notice. You may terminate this Agreement at any time by requesting that we deactivate your account. Sections 6, 7, and 9 through 14 survive termination.

12. Changes to the Portal or this Agreement

We may modify, add to, or discontinue features of the Portal at any time. We may also update this Agreement from time to time by posting a revised version at this URL and updating the "Effective" date above. Your continued use of the Portal after any change constitutes acceptance of the revised Agreement.

13. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You and Father & Sons Home Watch agree that the state and federal courts located in Collier County, Florida will have exclusive jurisdiction over any dispute arising out of or related to this Agreement, and each party consents to the personal jurisdiction and venue of those courts.

14. Entire Agreement; Severability

This Agreement is the entire agreement between you and Father & Sons Home Watch concerning the Portal and supersedes any prior or contemporaneous understanding on that subject. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
